Dispute Resolution and Governing Law

11.1 Governing Law

These Terms and any dispute arising out of or relating to the Service are governed by the laws of the State of Utah, without regard to its conflict-of-laws rules. This governing-law clause does not limit any non-waivable consumer protection available to you under the law of your state of residence.

11.2 Informal Resolution First

Before filing any formal claim, contact Honest Fix at caleb@honestfixapp.com and describe the dispute. We will attempt informal resolution within 30 days. If we cannot resolve it, either party may proceed as below.

11.3 Binding Arbitration

IF WE CANNOT RESOLVE A DISPUTE INFORMALLY, YOU AND HONEST FIX AGREE THAT THE DISPUTE WILL BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION, NOT IN COURT, EXCEPT AS PROVIDED IN SECTIONS 11.4 AND 11.5.

Arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules (available at www.adr.org). Arbitration will take place in Salt Lake County, Utah, or via video conference at the consumer's option. The arbitrator's decision is final and binding.

For claims under $2,500, Honest Fix will pay all AAA filing, administrative, and arbitrator fees. For larger claims, fees are allocated per the AAA Consumer Arbitration Rules.

11.4 Class-Action Waiver

YOU AND HONEST FIX AGREE THAT EACH MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS.

This waiver does not apply to claims for public injunctive relief brought in a court of competent jurisdiction by California residents, consistent with McGill v. Citibank, N.A.

11.5 Exceptions to Arbitration

Either party may bring a qualifying claim in small claims court in Salt Lake County, Utah, or the consumer's county of residence. Either party may also seek emergency injunctive or equitable relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration.

11.6 Venue If Arbitration Is Not Enforced

If the arbitration clause is found unenforceable for a particular claim, both parties consent to exclusive jurisdiction and venue in the state and federal courts in Salt Lake County, Utah.

11.7 Time Limit on Claims

Any claim relating to the Service must be filed within one (1) year of when it arose, or it is permanently barred.
